Acceptance of Terms
By accessing, logging into, or otherwise using this software, each user automatically and unconditionally accepts all terms and conditions set forth herein. Continued use constitutes ongoing acceptance. If any user does not agree to these terms, they must immediately cease all use of this software.
Confidentiality
All users of this software are bound by a duty of confidentiality. The software itself — including its source code, architecture, features, data models, and user interface — as well as all data accessed, displayed, or processed through it, constitute confidential information of the copyright holder and/or the licensee.
Users shall not disclose, share, screenshot, record, reproduce, or otherwise make available any confidential information to any unauthorized person or entity, whether during or after their period of access. This obligation survives termination of access indefinitely.
The licensee is responsible for ensuring that all individuals granted access — including employees, contractors, and third-party service providers — are bound by confidentiality obligations no less protective than those set forth herein, whether by separate NDA or equivalent contractual provision.
Exclusive License Grant
Telios Land Partners and its affiliated entities (collectively "Telios") are granted an exclusive, non-transferable license to use this software (ausschließliches Nutzungsrecht pursuant to §§ 31 ff. UrhG) for internal business purposes across all Telios group companies. During the term of this exclusive license, the copyright holder shall not grant any third party the right to use this specific software application or any substantially similar derivative thereof for the same or competing purposes.
Retained Rights of the Copyright Holder. Notwithstanding the exclusive license granted above, the copyright holder expressly retains all rights to the underlying technology, methodologies, algorithms, data models, AI models, architectural patterns, and general-purpose components embodied in or developed in connection with this software (collectively the "Underlying IP"). The copyright holder may freely use, license, sell, or otherwise exploit the Underlying IP — including by incorporating it into other products or services for other clients — provided that such use does not involve granting access to this specific ATLAS application or its Telios-specific data, configurations, or branding to any third party during the term of this license.
Telios may permit third-party service providers (e.g. call centres) to use this software solely on behalf of and under the direction of Telios, provided such use remains within the scope of this license. Telios remains fully responsible for any such third-party use. This license may not otherwise be sublicensed, assigned, or made available to any independent third party.
This license is effective for the duration of the contractual relationship between Michael Wilder and/or Wilder Strategix and Telios Land Partners. Upon termination or expiration of said contract, all usage rights — including any third-party access granted hereunder — revert immediately and in full to the copyright holder, and the exclusive nature of this license shall cease. The licensee shall not copy, modify, reverse-engineer, or distribute this software. This license is governed by the laws of the Federal Republic of Germany and the applicable provisions of EU Directive 2009/24/EC.
Disclaimer of Warranty & Limitation of Liability
This software is provided "as is" and "as available" without warranty of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or accuracy of data. The copyright holder makes no representations or guarantees regarding the completeness, reliability, or correctness of any data, outputs, or results generated by this software. Use of this software is entirely at the licensee's own risk.
To the maximum extent permitted by applicable law, the copyright holder shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages — including but not limited to loss of profits, data, business opportunities, or goodwill — arising out of or in connection with the use or inability to use this software, even if advised of the possibility of such damages.
This limitation of liability does not apply to damages caused by intentional misconduct (Vorsatz) or gross negligence (grobe Fahrlässigkeit) on the part of the copyright holder, nor to liability for injury to life, body, or health, as these cannot be excluded under §§ 276, 309 Nr. 7 BGB.
Data Protection & GDPR
The licensee is the sole data controller (Art. 4(7) GDPR / Regulation (EU) 2016/679) with respect to any personal data entered into, processed by, or generated through the use of this software. The copyright holder does not collect, store, process, or have access to any personal data handled by the licensee within this software.
The licensee bears full and exclusive responsibility for ensuring that its use of this software complies with the General Data Protection Regulation (GDPR), the German Federal Data Protection Act (BDSG), and any other applicable data protection laws. This includes, without limitation, maintaining a lawful basis for processing, fulfilling data subject rights, implementing appropriate technical and organisational measures, and conducting any required data protection impact assessments.
The licensee shall indemnify and hold harmless the copyright holder from and against any claims, fines, penalties, damages, costs, or expenses (including reasonable legal fees) arising from or related to the licensee's processing of personal data using this software or any breach of applicable data protection laws by the licensee or its users.
